1. Acceptance of Terms

Welcome to 10xGrowth Australia. By accessing our services, website, or engaging with our team, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Services Overview

10xGrowth Australia provides full-service digital solutions including but not limited to:

• Web Design & Development
• Digital Marketing & SEO

• Brand Strategy & Content Creation

• Social Media Management

• E-commerce Solutions

• UX/UI Design

• Analytics & Reporting

3. Client Responsibilities

As our client, you agree to:

• Provide accurate, complete, and timely information necessary for project execution

• Designate a primary point of contact for communications

• Review deliverables promptly and provide feedback within agreed timelines

• Obtain necessary permissions for any materials you provide

• Make timely payments as outlined in your service agreement

4. Project Process

4.1 Proposals & Agreements

All projects begin with a formal proposal and signed agreement outlining scope, timeline, deliverables, and payment terms.

4.2 Revisions

Each project includes a specified number of revision rounds. Additional revisions may incur extra charges at our standard hourly rate.

4.3 Timeline

Project timelines are estimates based on current workload and client responsiveness. Delays in client feedback or content provision may extend project timelines.

5. Intellectual Property

5.1 Client Materials

You retain ownership of all materials you provide to us. By providing materials, you grant us permission to use them for the agreed project purposes.

5.2 Agency Deliverables

Upon full payment, you receive ownership of final deliverables as specified in your agreement. We retain the right to:

• Display completed work in our portfolio

• Use anonymized project data for case studies

• Reuse technical approaches and methodologies

5.3 Third-Party Assets

Licensing for third-party assets (stock photography, fonts, plugins, etc.) is typically the client’s responsibility unless otherwise specified.

6. Payment Terms

6.1 Fees

All fees are outlined in your service agreement. Additional services not included in the original scope will be billed at our standard hourly rate or through a separate agreement.

6.2 Payment Schedule

• Digital Marketing & Retainer Services: Monthly in advance

• Web/Design Projects: Typically 50% upfront, 50% upon completion

• Large Projects: Custom milestone-based payment schedules

6.3 Late Payments

Payments are due within 15 days of invoice date. Late payments may incur a 1.5% monthly interest charge and may result in pausing of services.

7. Confidentiality

We respect your sensitive information. Both parties agree to:

• Keep confidential information private

• Use confidential information only for project purposes

• Return or destroy confidential information upon project completion

8. Termination

8.1 By Client

You may terminate services with 30 days written notice. You remain responsible for payment of all work completed up to termination date.

8.2 By Agency

We may terminate services if:

• Payment is overdue by 30+ days

• Client breaches material terms of agreement

• Client becomes insolvent or declares bankruptcy

9. Limitation of Liability

9.1 Maximum Liability

Our maximum liability for any claim related to our services is limited to the total amount paid by you for the specific project in question.

9.2 Indirect Damages

We are not liable for any indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.

9.3 Third-Party Services

We are not responsible for the performance, security, or reliability of third-party platforms, tools, or services we may recommend or integrate.

10. Performance & Results

10.1 Digital Marketing Disclaimer

While we employ industry best practices, we cannot guarantee specific results such as search engine rankings, lead quantities, or conversion rates due to factors beyond our control.

10.2 Browser/Device Compatibility

We ensure compatibility with current versions of major browsers and devices as specified in project agreements. We cannot guarantee compatibility with outdated or unsupported platforms.

11. Maintenance & Support

Post-launch support and maintenance are available through separate retainer agreements. Emergency support may be billed at premium rates.

12. Hosting & Technical Services

For clients using our hosting services:

• We maintain regular backups but recommend clients maintain their own backups

• Scheduled maintenance may result in temporary downtime

• We reserve the right to suspend accounts for security threats or policy violations

13. Changes to Terms

We may update these Terms and Conditions periodically. Continued use of our services constitutes acceptance of updated terms.

14. Governing Law

These terms are governed by the laws of Australian Government.

15. Force Majeure

Neither party is liable for delays or failures in performance resulting from circumstances beyond reasonable control including natural disasters, pandemics, or infrastructure failures.

16. Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.

17. Entire Agreement

These Terms and Conditions, along with your specific service agreement, constitute the entire agreement between parties regarding the services.
